Allens Guides Aware Super's 50% SERV Sale to Macquarie

Allens has advised Aware Super on the sale of 50% of its interest in Secure Electronic Registries Victoria (SERV) to Macquarie Asset Management (MAM).

SERV operates Victoria's statewide land titling and registration services under a concession. Aware Super acquired the concession in 2018 under an exclusive 40-year concession granted by the State of Victoria.

This transaction will introduce MAM as partner to Aware Super in operating SERV, bringing together two leading institutional investors in one of Australia's most significant digital infrastructure assets.

The transaction reflects continued investor demand for infrastructure businesses that provide essential services through long-term concession frameworks. The transaction is subject to customary regulatory approvals, including the consent from the State of Victoria.

Partner Jeremy Low said the transaction highlights the growing attraction of digital infrastructure assets to private capital investors.

'Assets that combine long-term concession arrangements with technology-enabled essential services continue to attract strong investor interest. This transaction reflects the increasing focus on digital infrastructure as a core investment class within the broader infrastructure market.'

Partner Chris Blane said the deal builds on a longstanding relationship with Aware Super and Allens' involvement in the Victorian land registry asset.

'We are delighted to have supported Aware Super on this transaction. Having advised on Aware Super's acquisition of the Victorian land titles registry concession in 2018, it is particularly rewarding to assist on this next chapter for the asset and another significant partnership between Aware Super and Macquarie Asset Management.'

The transaction reflects Allens' leading private capital and infrastructure expertise, including advising institutional investors, asset owners and financiers on complex transactions involving critical infrastructure and digital assets. It also demonstrates the firm's depth of experience supporting clients across the full investment lifecycle, from acquisition and financing through to asset management and strategic divestments.
