UPDATE ON SCHEME OF ARRANGEMENT VOTING

PointsBet Holdings Limited (ASX: PBH) (PointsBet) refers to:
- its announcement earlier today titled "Results of Scheme Meeting – Resolution Passed", in connection with the previously announced scheme of arrangement with a wholly owned subsidiary of MIXI, Inc (Scheme); and
- the announcement earlier today from Betr Entertainment Limited (Betr) titled "Statement on PointsBet Scheme Meeting" (Betr Announcement).
PointsBet rejects the statement in the Betr Announcement that "the chair of the meeting has impermissibly excluded betr's vote against the Scheme and provided no basis for doing so". These accusations are factually inaccurate and without basis. The chair of the meeting did not exclude Betr's vote. Betr revoked the proxy it had previously lodged, and it did not cast a vote at the meeting.
The results of the Scheme Meeting were declared following the conduct of a poll which was overseen by a returning officer appointed for the meeting, being a representative from PointsBet's share registry, Computershare. The information included in PointsBet's announcement earlier today accurately reflects the outcome of that poll as recorded by Computershare and confirmed by Computershare prior to the release of PointsBet's announcement.
PointsBet understands, having confirmed with Computershare, that one of Betr's senior company officers validly logged into the Scheme Meeting virtually and revoked Betr's proxy on Betr's behalf prior to the close of the poll. This person then did not lodge any votes for Betr at the Scheme Meeting. As noted above, this explanation is consistent with the records of the Scheme Meeting maintained by Computershare.
Given the Scheme has been approved by the requisite majorities of PointsBet shareholders, PointsBet intends to proceed to the Second Court Hearing scheduled for 10:15am (Melbourne time) tomorrow, 26 June 2025.
